1. Agreement to Terms

By accessing or using SpeakMyPDF ("Service"), operated by Euler's Identity, LLC, a Florida limited liability company ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

You must be at least 18 years old to use this Service. If you are under 18, you must have parental consent and supervision.

2. Description of Service

SpeakMyPDF provides an automated text-to-speech conversion service that transforms PDF and text documents into audio files using artificial intelligence technology. All audio output is AI-generated and synthetic. The Service is provided on a pay-per-use basis with no subscriptions or recurring charges.

3. Temporary Nature of Service

IMPORTANT: All files uploaded to and generated by our Service are temporary and ephemeral:

• Uploaded documents are automatically deleted within 24 hours
• Generated audio files are automatically deleted within 24 hours
• We do not maintain permanent copies of any user data
• Users must download their audio files promptly as they will become unavailable after 24 hours

4. User Responsibilities and Content Restrictions

4.1 General Responsibilities

You agree to:

• Only upload content you have the legal right to convert
• Not upload any illegal, harmful, or malicious content
• Not attempt to circumvent any security measures
• Not use the Service for any unlawful purposes
• Download your audio files within 24 hours of generation

4.2 Prohibited Content

You expressly agree NOT to upload or convert:

• Copyrighted material without explicit written permission from the copyright holder
• Content that violates any person's right of publicity, privacy, or personality rights
• Content containing personally identifiable information of third parties without consent
• Content that could be used to impersonate, deceive, or defraud others
• Content that violates any celebrity, public figure, or individual's voice rights
• Defamatory, harassing, or threatening material
• Content that violates any applicable laws or regulations

4.3 Commercial Use Restrictions

• Personal Use Only: Generated audio files are licensed for personal, non-commercial use only
• Commercial License Required: Any commercial use requires separate written agreement
• No Redistribution: You may not sell, distribute, or publicly perform generated audio without express written permission

4.4 AI Disclosure Requirements

If you share or use generated audio files, you must:

• Clearly disclose that the audio is AI-generated and synthetic
• Not represent the audio as being spoken by any real person
• Include language such as: "This audio was generated using artificial intelligence and does not represent the actual voice of any real person"

5. Intellectual Property and Rights

5.1 Your Content Rights

You retain all rights to your original uploaded content. By using our Service, you grant us a temporary, limited license to process your content solely for providing the text-to-speech conversion service. This license expires when your files are automatically deleted.

5.2 Generated Audio Rights

• AI-generated audio files are synthetic creations produced by our algorithms
• You receive a limited, personal-use license to the generated audio
• We retain no ownership claims to the generated audio beyond our temporary processing license
• No celebrity or individual voice rights are transferred or implied

5.3 Third-Party Rights Protection

You acknowledge and agree that:

• Human voices may be protected by publicity rights, personality rights, or other laws
• Our AI models do not grant you rights to any person's voice characteristics
• You are solely responsible for ensuring your use complies with all applicable rights

6. Payment Terms

Payment is processed through Stripe, Inc. By using our Service, you agree to Stripe's terms of service. All payments are final and non-refundable except as required by law. Pricing is calculated based on character count, with a minimum charge of $0.50 per conversion.

7. Representations and Warranties

7.1 Your Representations

By using the Service, you represent and warrant that:

• You own all rights to uploaded content or have explicit written permission to convert it
• Your use will not violate any copyright, publicity rights, or other intellectual property rights
• You have legal authority to agree to these Terms
• Your content does not contain illegal or harmful material
• You will comply with all applicable laws in your use of generated audio

7.2 Indemnification Clause

You agree to indemnify, defend, and hold harmless Euler's Identity, LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you upload or convert
• Any use you make of generated audio files

8. Third-Party Services

Our Service utilizes infrastructure from:

• Cloudflare: For content delivery and security (Cloudflare's Terms)
• GPU Infrastructure Provider: For AI processing (Subject to provider's terms)
• Stripe: For payment processing (Stripe's Terms)

9. Privacy and Data Protection

9.1 Data Handling

• We process uploaded content only for conversion purposes
• No human review of uploaded content except as required by law
• No data mining, analysis, or AI training using your content
• Automatic deletion within 24 hours as specified

9.2 Legal Compliance

We may preserve or disclose user information if required by law, court order, or to protect our rights and safety.

10. Content Monitoring and Enforcement

10.1 Right to Monitor

We reserve the right to:

• Monitor uploads for compliance with these Terms
• Immediately suspend or terminate accounts that violate these Terms
• Remove content that violates these Terms or applicable law
• Report illegal activity to appropriate authorities

10.2 DMCA Compliance

We comply with the Digital Millennium Copyright Act. Copyright holders may submit takedown notices to: legal@speakmypdf.com

13. Geographic Restrictions and Compliance

13.1 Jurisdictional Compliance

• These Terms are designed to comply with U.S. federal and Florida state law
• Users in other jurisdictions use the Service at their own risk
• You are responsible for compliance with your local laws

13.2 Specific State Law Compliance

Users in California, New York, Tennessee, and other states with strong publicity rights laws must ensure their use complies with applicable state statutes regarding voice and personality rights.

14. Termination

We may terminate or suspend your access immediately, without prior notice, for any violation of these Terms. Upon termination, your right to use the Service ceases immediately.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law provisions.

15.2 Dispute Resolution

Mandatory Arbitration: Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, conducted in Florida. You waive your right to jury trial and class action participation.

15.3 Exception for Injunctive Relief

Either party may seek injunctive relief in court for intellectual property violations or breaches that could cause irreparable harm.

16. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force. These Terms constitute the entire agreement between you and Euler's Identity, LLC regarding the Service.

17. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be posted with 30 days advance notice. Your continued use after changes constitutes acceptance of updated Terms.
